TERMS OF SERVICE
Customer acknowledges and agrees that access to the Services is licensed on a per-user basis and is strictly limited to the number of authorized users set forth in the applicable Order Form ("Authorized Users"). Each Authorized User must be assigned a unique username and password, which may not be shared, transferred, or used by any other individual or entity.
Customer shall not, and shall not permit any third party to: (i) share login credentials among multiple users; (ii) allow simultaneous or sequential use of a single account by more than one individual; (iii) create generic, group, or shared accounts; or (iv) otherwise circumvent the user limitations or access controls of the Services.
Customer is solely responsible for all activity occurring under its accounts, including any unauthorized access resulting from failure to maintain credential confidentiality. Customer shall promptly notify Company of any suspected unauthorized use or security breach.
Company reserves the right, in its sole discretion, to monitor usage patterns to detect violations of this Section. In the event Company reasonably determines that Customer has violated the user access restrictions, Company may, without limiting any other rights or remedies: (a) suspend or terminate access to the Services; (b) require Customer to purchase additional user licenses to cover excess usage; and/or (c) assess retroactive fees for unauthorized users at Company’s then-current rates.
Any violation of this Section shall constitute a material breach of the StarPRO SaaS Services Agreement subject to immediate enforcement under the terms therein.
