TERMS OF SERVICE – USER ACCESS AND ACCOUNT SHARING

Customer acknowledges and agrees that access to the Services is licensed on a named-user basis and is strictly limited to the number of users purchased under the applicable Order Form ("Authorized Users"). Each Authorized User must be assigned a unique username and password and may not share, transfer, sublicense, or permit any other inpidual or entity to use such credentials.

Customer shall not, and shall not permit any third party to:

(a) share login credentials among multiple inpiduals;

(b) allow simultaneous or sequential use of a single Authorized User account by more than one person;

(c) create generic, departmental, role-based, group, or shared user accounts;

(d) permit access to the Services by any inpidual who is not an Authorized User; or

(e) otherwise circumvent, disable, or attempt to circumvent the user licensing restrictions, security controls, or access limitations of the Services.

Customer is responsible for maintaining the confidentiality of all usernames, passwords, and account credentials and shall be responsible for all activities occurring under its accounts, whether authorized or unauthorized. Customer shall promptly notify StarPRO of any suspected unauthorized access, credential compromise, or security breach.

StarPRO reserves the right to monitor account usage, login activity, access locations, session data, and other reasonable usage metrics for the purpose of verifying compliance with these Terms and the applicable licensing restrictions.

If StarPRO reasonably determines that Customer has exceeded its licensed user count or otherwise violated this Section, StarPRO may, in addition to any other rights or remedies available under the Agreement or at law:

(a) require Customer to immediately cease the unauthorized activity;

(b) require Customer to purchase additional user licenses sufficient to cover the actual number of users accessing the Services;

(c) invoice Customer for unpaid subscription fees attributable to unauthorized users, retroactive to the date such unauthorized access began, or if such date cannot be reasonably determined, for the preceding twelve (12) months;

(d) suspend access to affected accounts or the Services; and/or

(e) terminate the Agreement for material breach upon written notice.

Any violation of this Section shall constitute a material breach of the StarPRO SaaS Services Agreement.
